Company Courses Terms
Version 1 · published 2026-10-23
1. About these terms
1.1 These terms apply between OTO Group LLC ("OTO", "we") and a company, organisation or other employer ("the Company") that buys English courses on OTOCourses.app for its employees. OTO Group LLC is an Egyptian limited liability company, commercial register no. 130513 (Cairo Investment Commercial Registry), tax registration no. 545-465-400, with its registered office at 14/5 El Lasilky Street, 7th floor, El Basatin district, Cairo, Egypt.
1.2 These terms apply to company courses: one-to-one or group online English classes that OTO teaches to the Company's employees on OTOCourses.app and in OTO's Android and iOS apps. They do not apply to the OTO English Assessment sold to companies, which has its own terms.
1.3 These terms are made up of:
- these Company Courses Terms;
- the order or quotation that OTO and the Company agree in writing for each purchase ("the Order"), which states the courses, the hours or seats, the price, the currency and how the Company pays;
- the Privacy Policy, for the personal data described in section 7.
If the Order and these terms differ, the Order applies to that purchase only.
1.4 Each employee who studies uses their own learner account. The Student Terms, the Refund Policy, the Privacy Policy and the Class Transcripts and AI Addendum apply between OTO and each employee as for any learner, except where these terms say otherwise (section 9).
1.5 All times in these terms are Cairo time (Africa/Cairo).
2. Definitions
2.1 In these terms:
- "Company account" means the account on OTOCourses.app through which the Company manages its employees' courses.
- "HR manager" means a person the Company names to manage its company account, usually from its human resources team. A company account can have more than one HR manager.
- "Employee" means a person the Company invites to study under these terms. It may include a contractor or other person the Company chooses.
- "Seat" means the right for one employee to study under the Company's account.
- "Included seats" means seats that OTO gives the Company with its account without a separate charge (clause 5.2).
- "Hours" means hours of teaching added to an employee's learner account as a package, under the Student Terms.
3. Opening the company account
3.1 A company account is opened only by OTO's sales team. There is no self sign-up for company courses. OTO's sales team records the Company's name and, where given, its email domain, contact phone and notes, and creates an account for each HR manager the Company names.
3.2 Each HR manager receives an email with a link to set a password. The link is valid for 7 days. An HR manager's account is a company account only: it cannot be used to study, teach or buy packages for the HR manager personally. A person who also wants to study uses a separate learner account.
3.3 The Company confirms that each HR manager it names is authorised to act for it under these terms, including inviting and removing employees. The Company tells OTO at once if an HR manager leaves or should no longer have access, and OTO then closes that HR manager's access.
3.4 HR managers sign in with their email and password. They must keep their password private. The Company is responsible for what is done through its HR managers' accounts.
3.5 Companies that were active on otocourses.com are moved to OTOCourses.app by OTO's team, one by one. No other company is moved.
4. Inviting employees
4.1 An HR manager, or OTO's sales team at the Company's request, invites employees by email from the company account. Each invitation link is valid for 14 days. The HR manager can resend or withdraw an invitation that has not been used.
4.2 Before inviting a person, the Company confirms that it has a lawful basis to give OTO that person's name and work email address, and that it has told the person that OTO will contact them about the company course.
4.3 An invited employee joins by opening the link and either creating a learner account or signing in to their existing one. To create an account, the employee accepts the Student Terms and the Privacy Policy and confirms that they are at least 16 years old (Student Terms 2.5). The first time an employee signs in after joining, they also accept these terms as they apply to them. An account that is a teacher, staff, parent or company account cannot join as an employee.
4.4 An employee who already has a learner account keeps it when they join. Packages they bought themselves stay theirs and are not visible to the Company as a purchase (section 7).
4.5 An employee may belong to one company at a time.
5. Seats and hours
5.1 The Order states how many seats and how many hours the Company buys, for which course and level, and how long the hours are valid. Unless the Order says otherwise, the hours are added to each employee's learner account as a package with the validity in Student Terms 5.4.
5.2 OTO includes 5 seats with the company account, once per organisation, without a separate charge. Included seats give the employee access to the platform and to the placement test. They include no teaching hours.
5.3 Each Order is for at least 6 seats and at least 6 sub-levels of teaching in total. A sub-level is one 8-hour level of a course.
5.4 OTO's finance team adds the hours the Company has paid for to each employee's account. Hours are given to a named employee. An HR manager may ask OTO to move unused hours from one employee to another of the Company's employees, and OTO then moves them. Moved hours keep their original expiry date.
5.5 An employee books, cancels and attends classes under the Student Terms, including the cancellation, lateness, no-show, freeze and expiry rules. Hours used up under those rules (for example by a late cancellation or a student no-show) count as used for the Company.
5.6 Hours that expire unused are forfeited, as for any package (Student Terms 5.6).
6. Price, payment and invoices
6.1 The Order states the price and the currency. OTO prices company courses in Egyptian pounds (EGP) or, where the Order says so, in US dollars (USD), Saudi riyals (SAR), UAE dirhams (AED), Kuwaiti dinars (KWD) or Qatari riyals (QAR). OTO sets its prices in each currency separately: they are not converted at the exchange rate.
6.2 The Company pays either:
- online through Fawaterak, OTO's payment provider, using a payment link OTO sends; or
- by bank transfer against OTO's invoice. One OTO finance staff member records the payment and a second one confirms it.
6.3 Nothing is sold in OTO's Android and iOS apps. Company courses are bought only through an Order with OTO's sales team, and online payment is made on the website.
6.4 OTO issues an invoice or receipt for each payment, in the Company's name and with the tax registration details the Company gives.
6.5 The Company pays each invoice within the payment term stated on it, which is at most 30 days from the invoice date. OTO adds the hours once the payment is confirmed, unless the Order says that OTO adds them before payment.
6.6 If an invoice is not paid within its payment term, OTO freezes the accounts of the Company's HR managers after telling them; the employees' learner accounts keep working. If the invoice is still unpaid 30 days after the end of its payment term, OTO also freezes the learner accounts of the Company's employees. Each account is unfrozen once the invoice is paid.
6.7 Fawaterak's commission is borne by OTO and is not added to the Company's total. Any fee the Company's own bank charges is the Company's.
7. What the HR manager sees
7.1 The company account shows the HR managers, for each employee who has joined: their name and email address, their level, the classes they have done (in the last 30 days and in total), their student no-shows, their attendance, the hours granted and the hours left, their next class, when they were last active, and a note when an employee may need attention (for example after repeated no-shows or a long time without a class). It also shows pending invitations.
7.2 The HR managers never see an employee's phone number, date of birth, gender, preferred teacher gender, profile notes, class recordings, class chat, the instructor's private notes or any transcript, or the employee's own purchases.
7.3 For the data in clause 7.1, OTO and the Company each decide, for their own purposes, how it is used: OTO to run the course, the Company to follow its employees' training.
7.4 The Company uses the data in clause 7.1 only to manage its employees' training. It must not use it for any decision about an employee's employment unless it has told the employee so in advance.
7.5 OTO keeps the data as the Privacy Policy says (clause 10). Removing an employee from the company account (clause 10.1) stops the HR managers seeing the employee's data; it does not delete the employee's learner account.
8. OTO's responsibilities
8.1 OTO provides qualified instructors at each employee's level, the online classroom, class recordings (kept 90 days, Student Terms 13.3) and the learning tools, as for any learner.
8.2 OTO aims to keep the platform available, but does not promise that it will be available without interruption. A class disrupted by a technical problem on OTO's side or the instructor's side is handled under Student Terms 14.3A.
8.3 OTO may change the instructor of an employee's package under Student Terms section 15.
9. The employee's own relationship with OTO
9.1 Each employee is bound by the Student Terms for their use of the platform, including the conduct rules (Student Terms 14). OTO may warn, pause or close an employee's account under those terms and tells the HR managers when it pauses or closes an account that holds the Company's hours.
9.2 Hours the Company paid for are the Company's purchase. An employee cannot ask for a refund of them, transfer them to another account or freeze them. Only the Company's HR managers can ask OTO to freeze company hours.
9.3 An employee may delete their own learner account (Student Terms 2.9). Unused company hours in the account then return to the Company, and an HR manager can ask OTO to give them to another employee (clause 5.4). OTO tells the HR managers when an employee who holds company hours asks to delete their account.
10. Removing employees, pausing and closing
10.1 An HR manager, or OTO staff at the Company's request, can remove an employee from the company account at any time. Removal ends the Company's link to the employee: the employee keeps their learner account and any packages they bought themselves. Unused company hours in the employee's account, including hours held by classes not yet held, return to the Company, and an HR manager can ask OTO to give them to another employee (clause 5.4).
10.2 The Company may close its company account by telling OTO in writing. Classes already booked go ahead.
10.3 OTO may pause the company account, which stops new invitations, if the Company breaches these terms, and freezes accounts for late payment as clause 6.6 says. OTO may close the account for a serious or repeated breach after telling the Company in writing. While a company account is paused or closed, employees keep their learner accounts and the hours already added, except as clauses 6.6 and 10.1 say.
11. Refunds
11.1 The Company may ask for a refund of a company purchase through its OTO sales contact or OTO support. OTO finance prepares the refund and a second person approves it, as in Refund Policy clause 3.
11.2 A company purchase paid against an invoice has no full refund within 14 days of purchase: it is refunded only as OTO and the Company agree in writing. A company purchase paid online is refunded under the Refund Policy as if the Company were the learner, counting the hours across all its employees for that Order. Included seats have no refund value.
11.3 A refund is paid in the currency the Company paid in, to the account it paid from, within the time in Refund Policy clause 13.
12. Confidentiality and content
12.1 Each party keeps confidential the other's non-public business information it receives under these terms, including prices in the Order, and uses it only for these terms.
12.2 Lesson materials, articles and other content on the platform belong to OTO or its licensors. The Company and its employees may use them only for the employees' own learning.
12.3 OTO may name the Company as a client only with the Company's written agreement.
13. Liability
13.1 Nothing in these terms limits a liability that Egyptian law does not allow to be limited.
13.2 Otherwise, each party's total liability to the other under these terms is limited to the amount the Company paid under the Order concerned in the 12 months before the claim. Neither party is liable for loss of profit or indirect loss.
14. Term
14.1 These terms start when OTO opens the company account and continue until the account is closed. Each Order runs until the hours it bought have been used or have expired.
15. Changes to these terms
15.1 OTO may publish a new version of these terms. OTO tells the HR managers by email at least 30 days before it applies to the Company, unless the change is required by law. A new version does not change an Order already agreed.
16. Governing law and disputes
16.1 These terms are governed by the laws of the Arab Republic of Egypt.
16.2 The parties first try to settle a dispute by discussion between the Company's HR manager and OTO. If it is not settled within 30 days, the competent courts in Cairo decide it.
17. Language
17.1 These terms are published in Arabic and in English. If the two versions differ, the Arabic version prevails.
